Terms of Service and Beta Terms

These terms govern your use of qcorpai.com (the "Site") and the Qcorp.ai private beta (the "Beta Service"), provided by Qcorp AI Technology Ltd, Level 6, Cyberport 2, 100 Cyberport Road, Pok Fu Lam, Hong Kong ("Qcorp.ai", "we", "us"). By using the Site or joining the waitlist you agree to them. If you use the Beta Service on behalf of a company, you confirm you have authority to bind it.

1. The Service

Qcorp.ai is software that uses autonomous agents to help businesses plan, set up, launch, monitor and optimize Google Ads campaigns, review websites against advertising policies, allocate budgets and calculate performance metrics (the "Service"). The Service is in private beta and is offered to a limited number of invited participants.

2. Waitlist and access

Joining the waitlist does not create a right to access, a place in the queue, or a contract for the Service. We decide who is admitted and when. Beta access, if granted, is personal to the invited organization, non-transferable and may be limited, changed, suspended or withdrawn at any time. Additional or updated terms may apply when access is granted and will be presented to you before you use the Beta Service.

3. Beta nature of the Service

The Beta Service may contain errors, be interrupted or change without notice. It is provided for evaluation. You should not rely on it as your only means of managing advertising spend, and you are responsible for maintaining your own controls, budgets, spending limits and backups.

4. Your accounts and authority

To use the Beta Service you may connect third-party accounts such as Google Ads and analytics accounts. You confirm that you own those accounts or are authorized to grant access, that you will comply with the third party's terms and policies, and that actions taken through the Service within the permissions and limits you set are taken on your behalf and at your responsibility. You must keep credentials secure and tell us promptly of any unauthorized access.

5. Acceptable use

You must comply with our Acceptable Use Policy and all applicable laws and advertising platform policies, including Google Ads policies.

6. Fees

The Site does not currently offer paid plans. If fees are introduced, they will be stated clearly and agreed with you in advance before any charge is made.

7. Intellectual property

The Site and the Service, including software, design, text and trademarks, belong to us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Beta Service for your internal business purposes during the beta. You retain ownership of your data and content. You grant us the license needed to host, process and display them to provide the Service and, in aggregated and de-identified form, to improve it. If you send feedback, you allow us to use it without restriction or payment.

8. Confidentiality

Non-public information about the Beta Service that we disclose to you is confidential. You may not disclose it or use it other than to evaluate the Beta Service without our written consent.

9. Privacy and data processing

Our Privacy Policy explains how we handle personal data. Where we process personal data contained in your ad accounts on your behalf, our Data Processing Terms apply.

10. Disclaimers

The Site and the Beta Service are provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not guarantee advertising performance, approval of any account or campaign by Google, return on investment, revenue or profit. See our Disclaimer.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, data, goodwill, or advertising spend, arising out of or in connection with the Site or the Beta Service. Our total aggregate liability for any claim relating to the Beta Service will not exceed HKD 1,000. Nothing in these terms excludes liability that cannot be excluded by law, including for fraud, or for death or personal injury caused by negligence.

12. Indemnity

You will indemnify us against third-party claims, losses and reasonable costs arising from your breach of these terms, your breach of applicable law or third-party platform policies, or your content and the products or services you advertise.

13. Suspension and termination

We may suspend or end your access at any time, including for breach of these terms, security or legal risk, or end of the beta. You may stop using the Service at any time. Provisions that by nature should survive termination will survive.

14. Changes

We may update these terms. The date at the top shows the latest version. Continued use after an update means you accept it.

15. Governing law and disputes

These terms and any dispute arising from them or from the Site or the Beta Service are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you may have under the law of your place of residence.

16. General

These terms, with the policies they refer to, are the entire agreement between you and us on this subject. If a provision is unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver. You may not assign these terms without our consent. A person who is not a party has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce them.
